    General provisions

    These Terms of Use set out the rules for using the website nexolve.eu, operated by Nexolve Sp. z o.o., with its registered office at ul. Rynek 60/2, 50-116 Wrocław, Poland, KRS: 0000903447, NIP: 8971892531, REGON: 389112306, correspondence/operating address: ul.     The website is operated under the Nexolve brand and has an informational and contact-oriented character. It presents activities in the field of near sourcing of products, B2B sourcing, support in the search for and verification of suppliers, organization of cooperation with manufacturers and operational support in the supply chain.

    The Terms of Use are made available on the website free of charge in a manner that enables their retrieval, reproduction and storage.

    Definitions

    For these Terms of Use, the following definitions apply:

    • Controller / Service Provider - Nexolve Sp. z o.o., details as in Section 1.
    • Website - the website available at nexolve.eu, including its subpages.
    • User - any person who visits the website or contacts the service provider via contact details or a form.
    • Electronic Services - free-of-charge functions of the website, in particular the provision of informational content and, where available, a contact form.
    • B2B Customer - an entrepreneur, legal person, organizational unit or person acting professionally who is interested in cooperation with the service provider.

    Nature of the website and no online sales

    The website is not an online store, marketplace or transaction platform. The website does not enable the placement of a paid order, online payments or automatic conclusion of a contract.

    The information published on the website is general, marketing-related and informational in nature. It does not constitute an offer within the meaning of the Polish Civil Code unless an individual document transmitted outside the website expressly states otherwise.

    Cooperation is established only after individual agreement of the terms, in particular the project scope, remuneration, schedule, responsibilities of the parties, quality, documentation and logistics requirements, and after acceptance of an offer or conclusion of a separate contract.

    Types and scope of electronic services

    Through the website, the service provider may provide the following free electronic services:

    • providing informational content about the service provider's activities;
    • enabling contact with the service provider via the contact details provided;
    • enabling submission of an inquiry via a contact form, if such a form is available on the website.

    The content viewing service begins when the user accesses the website and ends when the user leaves the website. The contact form service begins when the form is used and ends when the inquiry is submitted or when use of the form is discontinued.

    Technical requirements for using the website

    To use the website, a device with internet access, an up-to-date web browser and an active internet connection are required. An active email address is required for contact by email.

    The user should use the website in accordance with the law, good practices and these Terms of Use, while respecting the rights of the service provider and third parties.

    User obligations

    The user undertakes in particular to:

    • not transmit content that is unlawful, misleading, infringes third-party rights or contains malicious software;
    • not take actions that disrupt the operation, infrastructure or security of the website;
    • provide true and current data if they use a form or contact the service provider;
    • not use the website content in a way that infringes copyrights, trademark rights or personal rights.

    Intellectual property rights

    The content published on the website, including texts, graphic layout, elements of visual identity, logos, trade names, photos, graphics and descriptive materials, may constitute works or other legally protected subject matter. Use of the website does not transfer any intellectual property rights to the user.

    Copying, distributing, modifying or commercially using the website content requires the prior consent of the service provider, unless mandatory legal provisions provide otherwise.

    The service provider endeavors to keep the information on the website up to date and reliable, but does not guarantee that every item of information is complete, current or suitable for a specific project of the user.

    Business, purchasing, logistics or investment decisions made on the basis of the general content of the website are made by the user at their own responsibility. Detailed terms of cooperation, liability of the parties and any guarantees require separate contractual arrangements.

    The service provider is not liable for temporary interruptions in the availability of the website caused by technical reasons, maintenance, failures, actions of service providers or force majeure.

    The website may contain links to external websites. The service provider is not responsible for the content, privacy policies, security or operation of websites operated by third parties.

    Complaints regarding the operation of the website

    The user may submit complaints regarding the operation of the website to the following email address: kontakt@nexolve.eu. The notification should include a description of the problem, the date it occurred and contact details enabling a response.

    The service provider reviews complaints within a reasonable period, generally no longer than 14 days after receiving a complete notification. The response is sent to the email address provided by the user.

    Applicable law and jurisdiction

    These Terms of Use are governed by Polish law. In the case of B2B customers, disputes related to the use of the website or cooperation with the service provider will be resolved by the court having territorial jurisdiction over the service provider's registered office, unless mandatory legal provisions provide otherwise.

    These Terms of Use do not limit the rights granted to consumers or natural persons under mandatory legal provisions. If the website or offer is directed to consumers in the future, the document must be supplemented with the required consumer information.

    Changes to the Terms of Use

    The service provider may change the Terms of Use in the event of changes to legal regulations, the functioning of the website, the service provider's data, the scope of electronic services or for security reasons. The current version of the Terms of Use should be permanently available on the website.
